I am planning to start a e-Commerce business & going to talk to some
potential Angels/Partners/VC's etc.
is there a standard NDA out there that i can use? do i have to
incorporate
before i talk about my idea - what i mean is, does the nda have to
between
an "Entity" and the potential Angels/Partners/VC's etc. or can it be
between
two individuals ?
related to my previous post (copied below) regarding Intellectual
Property
rights, & assuming i get an nda also between me, the person, and the
mgmt
guy of Co-B, is there a conflict between these two documents?
if so, which one stands?
Has anyone experienced and battled with these issues before ? i would
like
to share the experience.

Hi All
I am planning to start a e-Commerce business and came up with potential
"roadblock". here it is -
I am a consultant on an H1 of a company say, Co-A, working at Co-B. At
both
of these companies they have ("standard" ?) forms which basically say
all
processes, ideas that i develop, invent etc. during the period i am
there is
theirs. Now since my e-commerce startup entails a new "business-model",
what would my choices be ? do i lose my idea ? do i have a right to take
my
idea forward ?
i am planning to rope in one of the mgmt people at co-B as a partner but
want to be sure of the legal aspects before i go for it ?
